These Terms of Service ("Terms") govern access to and use of the Elai Marketplace website, APIs, and related services (collectively, the "Platform"), operated by RENVAR INC ("Elai", "we", "us"). By creating an account, installing an Agent, listing an Agent or a physical robot, or otherwise using the Platform, you agree to these Terms.
1. What the Platform is
Elai is a two-sided marketplace connecting buyers ("Buyers") with independent developers and sellers ("Developers") who publish listings across several categories, and offers additional ways to browse and pay for them:
- AI Agents and Digital Employees — software agents that run against a large-language-model provider through the Platform's AI Gateway. Installing an Agent issues an Agent Passport (a scoped, revocable credential) and enforces a spend cap you configure at install time.
- Physical robots and equipment — listings for physical robot hardware and industrial equipment supplied by independent Developers/partners. Elai does not manufacture, own, warehouse, or ship any physical item. Submitting an inquiry on a robot listing creates a lead between you and the seller, not a checkout with Elai as the seller of record. Eligible equipment can also be rented instead of purchased — see our Equipment Rental Terms.
- Livestreams — sellers can broadcast a live demonstration of their listed products, with public chat, subject to admin approval and our Livestream Content Policy.
2. Certification tiers
Every published Agent carries one of three certification tiers, so you can judge how much independent scrutiny it has been through before you install it:
- Listed (Tier 1) — passed automated format validation and a basic safety / prompt-injection filter. No independent evaluation of the Agent's actual task performance.
- Verified (Tier 2) — the Developer submitted benchmark scores (accuracy, safety, prompt-injection resistance) which were checked against a published minimum threshold for the Agent's category. These scores are self-reported by the Developer and are not independently re-run by Elai at this tier.
- Certified (Tier 3) — reviewed and approved by a human reviewer (an internal moderator or an external domain-expert contractor) before publication. Required for high-risk categories.
Certification reflects the process an Agent went through, not a guarantee of fitness for any particular purpose. See Section 7 (Disclaimers).
3. Accounts and roles
You must provide accurate information when registering and are responsible for activity under your account and API credentials. Accounts are role-scoped (Buyer, Developer, Admin); Elai may add, remove, or adjust roles and permissions as the Platform evolves.
4. Fees and payments
Developers set the price of their Agent listings (subscription or metered pricing) and the price of their physical-robot listings. Elai retains a platform fee deducted from the Developer's/seller's proceeds:
- 20% of revenue from software Agent installs and usage.
- 15% of revenue from robot-brain Agent installs and physical-robot sales.
For physical-robot purchases where escrow is used, funds are held until you confirm receipt of the item; Elai releases the seller's share (net of the platform fee) upon your confirmation. Payment processing is provided by a third-party payment processor; you authorize Elai and its payment processor to charge your selected payment method for amounts you agree to.
Some checkouts offer a choice of how that authorized amount is charged, rather than a single immediate charge:
- "Pay in 4" installment credit — choosing this option authorizes Elai to charge your payment method automatically in 4 scheduled installments instead of once. It is a payment-scheduling feature of Elai checkout, not a loan from a bank or third-party lender, and involves no separate credit application — see our Installment Credit Terms for the full schedule and what happens if a scheduled charge fails.
- Equipment rental — renting instead of buying authorizes either one upfront charge or recurring periodic charges for as long as the rental continues; see our Equipment Rental Terms.
- Livestreams — hosting a livestream carries a one-time go-live fee and an optional recurring recording-subscription fee; see our Livestream Content Policy.
5. Acceptable use
You agree not to use the Platform to:
- Publish an Agent or listing that is illegal, fraudulent, or infringes a third party's rights;
- Attempt to bypass certification, spend-cap, or permission-scoping controls;
- Probe, disable, or circumvent the Platform's security, rate limits, or audit logging;
- Use a Buyer's installed Agent Passport beyond the permissions scope it was issued for.
6. Intellectual property
Developers retain ownership of their Agent's configuration, system prompt, and any original content they upload (including listing photos). By publishing, a Developer grants Elai and installing Buyers a license to display, execute (via the AI Gateway), and use that content for the purpose of operating the Platform. Elai retains all rights in the Platform itself (software, branding, certification methodology).
7. Disclaimers
THE PLATFORM AND ALL LISTINGS ARE PROVIDED "AS IS". Agent outputs are generated by third-party AI model providers via the Platform's AI Gateway; Elai does not control, and disclaims responsibility for, the accuracy or appropriateness of any Agent's output, except to the extent required by applicable law. Certification tiers describe a review process, not a warranty of accuracy, safety, or fitness for a particular purpose. Physical-robot listings are supplied by independent third parties; Elai is not the manufacturer or seller of record for any physical robot.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Elai'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM WILL NOT EXCEED THE FEES YOU PAID TO Elai IN THE 12 MONTHS PRECEDING THE CLAIM. Elai IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. This limitation does not apply to (a) death or personal injury caused by Elai's negligence, (b) Elai's gross negligence or willful misconduct, or (c) any liability that cannot be excluded or limited under applicable law.
9. Termination
You may stop using the Platform at any time. Elai may suspend or terminate an account that violates these Terms, including by revoking an Agent Passport or delisting an Agent or robot listing found to violate Section 5.
10. Governing law
These Terms are governed by the laws of Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts of Canada.
11. Changes to these Terms
Elai may update these Terms from time to time. Material changes will be announced on the Platform before taking effect.
