This Developer Agreement ("Agreement") supplements our Terms of Service and applies to anyone who publishes an AI Agent, Digital Employee, or physical-robot listing ("Developer", "you") on Elai Marketplace.
1. Publishing an Agent
Creating an Agent records its category, risk tier, and (if applicable) system prompt and compatible robot models. An Agent is not visible to Buyers until a version of it passes at least one certification tier and is published as a Listing:
- Listed (Tier 1) — automated format and safety check. Available for standard-risk categories.
- Verified (Tier 2) — you submit benchmark scores (accuracy, safety, prompt-injection resistance) for your Agent version, checked against the published minimum threshold for its category. You are responsible for the accuracy of scores you submit — misrepresenting benchmark results is a material breach of this Agreement and may result in delisting and account termination.
- Certified (Tier 3) — required for high-risk categories; your submission enters a manual review queue and is approved or rejected by a human reviewer before publication.
2. Publishing a physical-robot listing
Elai operates on an asset-light model for physical robots: Elai does not manufacture, own, warehouse, or ship any robot you list. By publishing a robot listing you represent that:
- You are authorized to sell or broker the listed item;
- The listing's description, price, and warehouse region are accurate;
- You will respond to Buyer inquiries in good faith and fulfill orders you accept.
A Buyer's inquiry is a lead, not an order placed with Elai. Where the Buyer chooses to pay through the Platform's escrow flow, Elai holds the funds until the Buyer confirms receipt, then releases your share (net of the platform fee described in Section 4) to you.
3. Content and IP
You retain ownership of your Agent's configuration, system prompt, and any photos or descriptions you upload. You grant Elai a license to display and, for software Agents, execute that content via the Platform's AI Gateway, solely to operate the Platform and fulfill installs you've been paid for. You represent that your content does not infringe any third party's intellectual property rights.
4. Fees and payout
Elai deducts a platform fee from your gross revenue before payout:
- 20% for software Agent subscription/metered revenue;
- 15% for robot-brain Agent installs and physical-robot sales.
Payout is on-demand, not on a fixed schedule: you request a withdrawal of any amount up to your available balance (revenue earned, minus previously-paid-out amounts, minus any amount held for open disputes or pending returns) from your Developer dashboard. Elai reviews and approves each request; once approved, payment is sent to you outside the Platform (we do not yet offer automated bank transfer or a connected payout method) and your dashboard is updated to reflect the paid amount.
5. Liability insurance
Certain high-risk or physical-product categories may in the future require you to hold liability insurance and name an approved insurance partner before a Certified listing goes live. This requirement is not yet enforced in the product — no insurance-verification step currently exists in the certification flow, and no approved-partner list has been published. Do not represent to Buyers that your listing carries Elai-verified insurance until this is announced.
6. Reviews and disputes
Buyers who have installed your Agent may leave a rating and review, shown on your listing and its catalog card. You may not offer compensation in exchange for reviews. Disputes over a robot-listing transaction should first be resolved directly with the Buyer; Elai may, at its discretion, assist or intervene where escrowed funds are involved.
7. Suspension and delisting
Elai may suspend your Developer account or delist an Agent/listing that violates this Agreement, the Terms of Service' acceptable-use section, or applicable law — including misrepresented certification scores, fraudulent listings, or repeated unresolved Buyer disputes.
8. Relationship of the parties
You are an independent Developer/seller, not an employee, agent, or joint venturer of Elai. Nothing in this Agreement creates an exclusivity obligation — you may sell the same Agent or product elsewhere.
